Methodology

This calculator provides estimated first-year cost ranges for forming a private fund. Costs vary widely depending on jurisdiction, fund structure complexity, choice of service providers, and the specific regulatory requirements that apply to your strategy.

Ranges are based on industry surveys and publicly available fee schedules from law firms, fund administrators, and auditors serving emerging and mid-size managers. Actual quotes may fall outside these ranges depending on negotiation, scope, and provider tier.

Key assumptions:

  • Legal costs cover LPA/PPM/subscription docs for a single fund vehicle. Side letters, co-invest vehicles, and parallel structures add cost.
  • Regulatory costs assume a domestic US manager. Non-US managers face different regimes (FCA, MAS, etc.).
  • Fund administration fees are annual and scale with NAV, number of investors, and reporting frequency.
  • Insurance estimates assume a standard emerging manager profile. Prior claims history or complex strategies increase premiums.
  • Placement agent estimates include a monthly retainer model and a 2% success fee benchmark. Terms vary significantly by agent and fund size.

Ongoing costs (Years 2+) are typically 30-50% lower than Year 1 because legal formation and setup fees are one-time expenses. Annual recurring costs include fund admin, audit, insurance renewals, and technology.

The break-even calculation assumes a 2% management fee on committed capital collected from day one. In practice, management fees often begin at first close and may be on invested (not committed) capital, which extends the break-even period.
