Universal Music Group (UMG) has held preliminary discussions with private equity firms including Apollo Global Management, TPG and Blackstone about a potential take-private transaction, although the talks have not progressed into a formal sale process, according to Private Equity Wire. The discussions took place earlier this year and were known to Universal’s board, according to people familiar with the matter cited in the same report.
UMG is Amsterdam-listed and has a market capitalisation of approximately €29bn, according to Private Equity Wire. The company’s shares have declined around 29% in 2026 and are trading below their 2021 listing price, the publication reported.
Status of discussions and process
The private equity conversations were described as preliminary and have not moved into a formal sale process, according to Private Equity Wire. The publication reported that no formal sale process has been launched.
Universal and the private equity firms declined to comment, according to the same report.
Prior approach and shareholder positioning
The potential transaction reportedly follows an earlier takeover proposal from shareholder Bill Ackman, who sought to acquire Universal and relocate its listing to the US, according to Private Equity Wire. The company rejected that approach, while its largest shareholder, the Bolloré family, has publicly questioned Universal’s market valuation, the publication reported.
Any buyout would reportedly require support from the Bolloré family, which controls more than 30% of Universal through direct holdings and Vivendi, according to Private Equity Wire. The report also said Tencent owns more than 11% of Universal.
Neither the Bolloré family nor Tencent has indicated an intention to sell its entire holding, according to the publication.
Market backdrop cited for valuation pressure
Universal’s valuation has come under pressure from slowing streaming growth in developed markets and investor concerns over artificial intelligence’s impact on music distribution and royalties, according to Private Equity Wire. The same report said the discussions about a potential take-private transaction were reported by Bloomberg.
