Anthropic filed an S-1 “today” ahead of what could be the largest IPO ever, disclosing new details on earnings, growth, key stakeholders, and risk factors, according to Crunchbase News. The IPO filing is 335 pages, and Anthropic reported $16.3 billion of revenue for the first half of 2026, according to Crunchbase News.

Revenue growth and cited run-rate commentary

For the first half of 2026, Anthropic reported revenue of $16.3 billion, which the filing describes as up 14x from the same period in 2025, according to Crunchbase News. The S-1 does not forecast the second half of 2026, according to Crunchbase News. Reuters has reported that Anthropic could reach a $110 billion annualized revenue run rate by year-end, citing analysts who met with company executives, according to Crunchbase News.

Losses and the stated drivers

Anthropic posted a $693 million operating income loss for the first half of 2026, which Crunchbase News reports was down about two-thirds from last year. Anthropic’s net loss for the first half of 2026 was $80 billion, according to Crunchbase News. About 90% of that net loss stemmed from what Anthropic called a “change in fair value of convertible notes, derivative liabilities, and SAFEs,” according to Crunchbase News.

Founder ownership disclosed in the S-1

Each of Anthropic’s seven founders holds between 230,000 and 246,000 shares of Class A stock, per the S-1, according to Crunchbase News. The co-founders listed in the Crunchbase News summary are Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah. Crunchbase News characterizes this distribution as unusual relative to typical startup prospectuses, which often show a founding CEO with a much larger relative stake compared to co-founders.

Risk factors span 93 pages

Anthropic’s IPO prospectus includes 93 pages of risk factors, which Crunchbase News reports begin at page 27 and end on page 120. Among the risks described, the company cites concern that slower revenue growth could constrain its ability to fund frontier AI development and attract and retain top talent, according to Crunchbase News. The prospectus also states that, having incurred significant debt to date, the company is worried about its ability to keep servicing obligations while covering operating costs, according to Crunchbase News. The S-1 also flags risks tied to “rogue AI agents,” and in one section Anthrophic states that “future models are expected to demonstrate capabilities that could provide meaningful assistance to malicious actors seeking to develop chemical, biological, or other dangerous weapons,” according to Crunchbase News.

Widely-known context: In U.S. IPOs, an S-1 is the registration statement companies file with the SEC to disclose financials and risk factors before listing.
