Vinci Compass is acquiring Brazilian reinsurer AustralRe for approximately BRL336m to launch a new permanent capital platform intended to support its private markets strategies and regional expansion, according to Private Equity Wire. The acquisition will establish Vinci Permanent Capital Solutions (VPCS), a business division that will operate separately from Vinci Compass’s asset management operations, according to Private Equity Wire.

Deal terms and consideration

The transaction is priced at 1.0 times tangible book value, with consideration expected to comprise approximately BRL$247m in cash and 1.7 million newly issued Vinci Compass Class A shares, according to Private Equity Wire. The final structure will reportedly depend on minority shareholders’ preferences, according to the same report.

VPCS mandate: GP commitments, seeding, and fundraising support

VPCS will use capital generated by AustralRe’s reinsurance business to finance general partner commitments, seed new investment strategies, and support third-party fundraising, according to Private Equity Wire. Vinci Compass said AustralRe’s permanent capital base would provide a stable source of funding for GP commitments, which can be particularly demanding in Latin America’s longer investment cycles, according to Private Equity Wire. Vinci Compass also said the structure is intended to support growth in fee-earning assets under management without relying solely on third-party capital raising, according to the report.

AustralRe footprint and financial figures cited

AustralRe was founded in 2011 by Vinci Compass partners alongside the firm’s private equity arm, Vinci Capital Partners, according to Private Equity Wire. AustralRe operates across 16 Latin American countries, according to the report. The company generated BRL3bn in gross written premiums over the 12 months to June 2026 and held approximately BRL1.8bn in cash and investments, according to Private Equity Wire.

Timeline, governance, and Vinci Compass AUM

AustralRe will continue under chief executive Bruno Freire and its existing management team, with no planned changes to underwriting operations or risk management, according to Private Equity Wire. Completion is reportedly expected in the first quarter of 2027, subject to regulatory and antitrust approvals, according to the report. The transaction is expected to be immediately accretive to distributable earnings per share at a double-digit rate, according to Private Equity Wire.

Vinci Compass had R$361bn in assets under management and advisory as of June 2026, spanning private equity, credit, real estate, infrastructure and other investment strategies, according to Private Equity Wire.
